Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Octostaff add-in for Microsoft Word and Excel (the "Service") provided by Octostaff ("we", "us", "our"). By using the Service, you agree to be bound by these Terms.

1. Beta Program

The Service is currently in an invite-only beta phase and is provided for evaluation and feedback purposes. Access is granted at our discretion and may be limited, suspended, or revoked at any time. During beta, features may change without notice, and functionality may be modified, interrupted, or discontinued, including account or data resets where reasonably necessary for testing, security, or operations.

2. Fees and Payment

The beta version of the Service is currently offered without charge. You are responsible for your own internet access and any third-party costs. If we introduce paid features in the future, we will provide clear notice and additional terms before charging any fees.

3. Eligibility

To use the Service, you must be legally able to enter into these Terms under the laws that apply to you, must have received a valid beta invitation, and must use a supported authentication account (such as Microsoft or Google).

4. Account and Access

You are responsible for maintaining the confidentiality of your credentials and for activity under your account. You must notify us promptly at support@octostaff.com if you suspect unauthorized access. You may not share your access credentials or permit unauthorized use of your account.

5. Acceptable Use

You agree not to use the Service in violation of law or third-party rights, attempt to reverse engineer or bypass technical protections, interfere with Service operations, abuse or misuse the platform, or resell or redistribute access without written authorization.

6. Intellectual Property

Our Rights

The Service, including its design, code, and documentation, is owned by Octostaff and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

Your Content

You retain ownership of the documents and data you process through the Service. By using the Service, you grant us a limited license to process your content solely to provide and improve the Service (subject to your data collection preferences as described in the Privacy Notice).

7. AI-Generated Content

The Service uses third-party AI models to generate responses. AI outputs may be inaccurate, incomplete, or unsuitable for your intended use. You are responsible for reviewing and validating outputs before relying on them, and the Service does not provide legal, medical, financial, or other regulated professional advice.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

DURING THE BETA PHASE, THE SERVICE IS EXPERIMENTAL. WE MAKE NO GUARANTEES REGARDING UPTIME, DATA INTEGRITY, OR FEATURE AVAILABILITY.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCTOSTAFF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) USD 100 (OR THE EQUIVALENT IN LOCAL CURRENCY). IF YOU PAID NO FEES, THIS CAP STILL APPLIES TO THE EXTENT PERMITTED BY LAW.

10. Termination

We may suspend or terminate access at any time where reasonably necessary, including for security, legal, operational, or abuse-prevention reasons. You may stop using the Service at any time. On termination, your right to use the Service ends immediately, and we may delete or de-identify account data after a reasonable retention period, subject to legal requirements. Sections that by their nature should survive termination will survive.

11. Changes to These Terms

We may update these Terms from time to time. We will notify active users of material changes via email or in-app notice. Continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Governing Law and Disputes

These Terms are governed by applicable law. Where local mandatory consumer-protection laws grant you rights that cannot be limited by contract, those rights remain unaffected. Any dispute will be handled in accordance with applicable law and mutually agreed procedures where required.
